Terms of Service.

1. Who we are and what these Terms cover

UnoPDF ("UnoPDF", "we", "us") is operated by NORD INVEST PA&CO S.R.L., a company registered in Romania under trade register number J2025055671007, tax identification code (CUI) 52221012, with its registered office at Str. Principală nr. 61, Cornești, comuna Călinești, 437076, jud. Maramureș, Romania.

These Terms of Service form a binding agreement between you and us and govern your access to the UnoPDF website, editor, tools, APIs and any paid plan (together, the "Service"). They apply whether you use the Service anonymously, with a free account, or on a paid plan.

Our Privacy & Trust Center explains what data the Service handles and where it goes. It forms part of these Terms by reference, and where the two documents describe the same processing, the Privacy & Trust Center is the more detailed statement.

If you do not accept these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. If you are using the Service on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" then means that organisation.

You may not use the Service if you are barred from doing so under applicable sanctions or export-control law, or if we have previously terminated your account for breach of these Terms.

3. What the Service does, and where processing happens

UnoPDF is a document editing tool. Different features process your files in different places, and you should understand the distinction before uploading sensitive material:

• Manual editing, annotation and the recent-files workspace run inside your browser. The document bytes are held in local browser storage on your device.
• Structural operations — including optical character recognition, Word and PDF conversion, layout recovery, vector and image analysis, and applying queued edits — require the document to be transmitted to our processing infrastructure, which operates within the European Union.
• Uno AI commands transmit extracted text blocks together with your instruction to our AI provider. The original document bytes are not included in these command requests.
• Uno Vision OCR transmits prepared page images to our AI provider, and only after you confirm the on-screen notice.
• Account features store identity, profile preferences, plan metadata, usage counters and saved workflows. We operate no cloud document library.

4. Your account

Some features require an account, created through a Google sign-in or an email sign-in link. You are responsible for maintaining control of the email address and sign-in method associated with your account, and for all activity that occurs under it.

Tell us promptly at legal@unopdf.ai if you believe your account has been accessed without your authorisation. You may delete your account and its associated cloud metadata at any time from the Privacy & Trust Center.

5. Your content and the rights you give us

You retain all rights in the documents, text and other material you supply to the Service ("Your Content"). We do not acquire ownership of Your Content, and we do not use it to train artificial-intelligence models.

You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Your Content strictly to the extent required to operate the feature you have invoked and to provide the Service to you. This licence exists solely for that purpose and ends when the relevant processing completes or when you delete the material, whichever is later.

You represent and warrant that you own Your Content or hold all rights and permissions necessary to submit it and to have it processed as described in section 3, and that doing so does not infringe any third party's intellectual property, privacy, confidentiality or other rights, nor breach any legal or contractual duty binding on you.

You are solely responsible for keeping your own backups. The Service is not a storage or archiving product, and we are not obliged to retain Your Content.

6. Prohibited uses

You must not use the Service to:

• alter, fabricate or reproduce identity documents, passports, licences, diplomas, certificates, financial statements, invoices, court or government records, or any other instrument, where the purpose or foreseeable effect is to deceive any person or institution;
• process material that is unlawful, that infringes intellectual property rights, or that you are not authorised to possess or modify;
• process material depicting the sexual exploitation of minors, or content that incites violence, terrorism or unlawful discrimination;
• circumvent, disable or interfere with usage limits, plan entitlements, security features, rate limiting or access controls;
• reverse engineer, decompile or attempt to derive the source code or underlying models of the Service, except to the extent this restriction is unenforceable under applicable law;
• scrape, crawl or bulk-extract the Service, or resell, sublicense or provide the Service to third parties as your own offering, without our prior written agreement;
• upload malware, or use the Service in a way that impairs its integrity, availability or performance for others.

7. Automated output: accuracy, review and reliance

Uno AI, Uno Vision OCR, translation, layout recovery and format conversion are automated and probabilistic. They can misrecognise characters, reflow or reposition layout, drop or duplicate content, mistranslate meaning, and produce output that appears correct but is not.

You must review any output before you rely on it, share it, sign it, file it or act on it. Where a document carries legal, financial, medical, regulatory or safety significance, that review is essential, and the responsibility for it is yours.

The Service does not provide legal, financial, tax, medical or other professional advice, and no output should be treated as such. We give no warranty that converted, translated or recognised output is complete, accurate or faithful to the source document.

8. Plans, prices and billing

The Service offers a free tier, Power Pass at €4.99 for a seven-day period, and UnoPDF Pro at €9.99 per month or €69 per year. Current plan features and limits are those shown on the pricing page at the time of purchase.

Payments are processed by Stripe. We do not receive or store your full card details. By purchasing, you also accept Stripe's terms as they apply to the payment transaction.

Power Pass does not renew automatically; it ends when its seven-day period expires. UnoPDF Pro renews automatically at the end of each billing period at the then-current price until you cancel. Cancellation takes effect at the end of the paid period, and you keep access until then.

Prices are stated in euro and, unless indicated otherwise at checkout, are exclusive of any VAT or equivalent tax, which will be added where applicable. We may change prices for future billing periods and will give you reasonable advance notice; changes never apply retroactively to a period you have already paid for.

If a payment fails or is reversed, we may suspend the paid features until the amount due is settled.

9. Right of withdrawal, and refunds

If you are a consumer resident in the European Union, you normally have fourteen days to withdraw from a distance contract for digital content. Because UnoPDF gives you immediate access to the paid features, you are asked at checkout to request that performance begin at once and to acknowledge that you thereby lose that right of withdrawal once performance has begun. That acknowledgement is what allows us to unlock the plan immediately.

Outside that mechanism, and regardless of it, we will refund you where the Service failed to work substantially as described, where you were charged in error, or where a refund is required by mandatory law. Write to legal@unopdf.ai with your account email and the charge in question.

Nothing in this section removes any statutory right you hold as a consumer that cannot lawfully be waived.

10. Availability and changes to the Service

We aim to keep the Service available and reliable, but we do not commit to any particular uptime level, and the Service may be interrupted for maintenance, updates, provider outages or events outside our control.

We may add, alter, restrict or discontinue features. If we discontinue a paid feature that is material to your plan and you are consequently unable to use what you paid for, you may cancel and we will refund the unused portion of your current period on a pro-rata basis.

Features labelled beta, preview or experimental are provided for evaluation, may change or be withdrawn without notice, and are excluded from any commitment as to accuracy or continuity.

11. Third-party services

The Service relies on third-party providers, including Google Firebase for authentication and application infrastructure, Stripe for payment processing, and OpenAI for artificial-intelligence processing. Their handling of data is described in the Privacy & Trust Center.

We select these providers with care and remain accountable to you for the Service, but we are not responsible for outages, changes or acts of a third-party provider that lie outside our reasonable control.

12. Our intellectual property

The Service, including its software, interfaces, design, text, graphics, the UnoPDF name and logo, and all related intellectual property, belongs to us or our licensors. Your right to use it is a limited, revocable, non-exclusive, non-transferable licence to access the Service for its intended purpose, in accordance with these Terms.

If you send us feedback or suggestions, we may use them without restriction and without obligation to you. This does not give us any right in Your Content.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

We do not warrant that the Service will meet your requirements, that defects will be corrected, or that output will be accurate, complete or preserved in its original layout or formatting.

If you are a consumer, this section applies only so far as the law allows, and it does not affect your statutory rights in respect of services that are not supplied with reasonable care and skill or that do not conform to the contract.

14. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded, including liability under mandatory consumer-protection law.

Subject to that, we are not liable for indirect or consequential loss, for loss of profit, revenue, business, goodwill or anticipated savings, for loss or corruption of data or documents, or for loss arising from your reliance on automated output that you did not review.

Subject to the first paragraph of this section, our total aggregate liability arising out of or in connection with the Service, whether in contract, tort (including negligence) or otherwise, is limited to the greater of the total amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred euro (€100).

You accept that these limits are reasonable given that a substantial part of the Service is offered free of charge and that you retain control over your own documents and over the decision to rely on any output.

15. Indemnity

If you use the Service in breach of these Terms or of applicable law, and a third party brings a claim, demand or proceeding against us as a result — including a claim that Your Content infringes their rights — you will indemnify us against the resulting liabilities, damages, reasonable legal costs and expenses.

This obligation does not apply to a consumer to any extent that it would be unenforceable under mandatory consumer-protection law, and it does not apply where the claim arises from our own breach or negligence.

16. Suspension and termination

You may stop using the Service and delete your account at any time from the Privacy & Trust Center.

We may suspend or terminate your access, with immediate effect and without refund, where you breach section 6, where your use exposes us or other users to legal risk or material harm, or where we are required to do so by law. For other breaches we will give you notice and a reasonable opportunity to put matters right, where circumstances allow.

On termination, your licence to use the Service ends. Sections 5, 7, 12, 13, 14, 15 and 19 survive termination.

17. Changes to these Terms

We may update these Terms to reflect changes to the Service, to our providers, or to legal requirements. The effective date at the top of this page always shows the current version.

Where a change materially affects your rights or obligations and you hold an active paid plan, we will give you reasonable advance notice by email or in the application. If you do not accept the change, you may cancel before it takes effect and we will refund the unused portion of your current period.

Continuing to use the Service after a change takes effect means you accept the updated Terms.

18. If something goes wrong

Please contact us first at legal@unopdf.ai. Most issues are resolved quickly and directly, and we would rather fix a problem than argue about it.

If you are a consumer in the European Union and we cannot resolve the matter, you may submit it to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr, or, in Romania, to the National Authority for Consumer Protection (ANPC). Using these routes does not affect your right to go to court.

19. Governing law and jurisdiction

These Terms and any dispute arising from them are governed by Romanian law, together with directly applicable European Union law.

The courts of Romania have jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, nor of your right to bring proceedings in the courts of that country.

If any provision of these Terms is held invalid or unenforceable, the remainder continues in force, and the invalid provision is replaced by a valid one that comes closest to its original commercial intent.
